Terms of Service

These Terms of Service ("Terms") govern your access to and use of Wozz ("Wozz", the "Service", "we", "us", or "our"), a software product operated by Luxeon LLC, a limited liability company registered in the State of Wyoming, United States ("Luxeon", the "Company"). Wozz is operated at getwozz.com.

By creating an account, subscribing to a paid plan, or otherwise using the Service, you ("you", "Creator", or "user") agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service. You represent that you are at least 18 years old and have the legal capacity to enter into these Terms.


1. What Wozz Is

Wozz is a software-as-a-service ("SaaS") tool that content creators use to manage paywalled access to their own private Telegram channels. The Service provides software features including subscriber access control, payment-method configuration, payment-proof matching, renewal tracking, and member management.

Wozz is software that you, the Creator, operate to run your own channel. Wozz is a technical tool and intermediary only. It is not a marketplace, is not a reseller of your content, is not the merchant of record for your subscribers' payments, and does not sell your content or services to your subscribers. You retain full ownership of and responsibility for your channels, your content, and your relationship with your subscribers.

2. Wozz Is a Tool — You Are Responsible for Your Content

Wozz has no affiliation with, control over, or responsibility for the content you or any Creator posts, sells, or provides access to. We do not create, review, endorse, monitor, or moderate the content of any channel. Content — including any goods, services, information, courses, signals, or access a Creator offers — is provided solely by the Creator.

You are solely responsible for:

Wozz is not a party to, and accepts no responsibility for, the relationship or any dispute between a Creator and a subscriber. Your use of the Service does not make Wozz responsible for your content or conduct.

3. No Affiliation with Telegram, Stripe, or Other Third-Party Services

Wozz operates on top of, and depends on, third-party services — including Telegram (which hosts your channels) and Stripe (which processes card payments on Creators' own accounts). Wozz is not affiliated with, endorsed by, sponsored by, or partnered with Telegram, Stripe, or any other third-party platform, processor, or blockchain network. All trademarks are the property of their respective owners.

We do not control and are not responsible for those third parties, their availability, their policies, or any action they take — including a Telegram channel ban or restriction, a Stripe account hold, freeze, or closure, an API change, or an outage. Your use of any third-party service is governed by that party's own terms, and you are responsible for complying with them (see Section 8).

4. Payments Between Creators and Their Subscribers

Wozz operates on a peer-to-peer, no-custody model. When a Creator's subscriber pays for access, that payment flows directly from the subscriber to the Creator, through payment methods the Creator owns:

Wozz never holds, custodies, routes, or processes money paid by subscribers to Creators, and takes no percentage or commission of it. Wozz charges Creators a flat subscription fee for the software (Section 5) and never sits in the funds path between a subscriber and a Creator. Creators are solely responsible for their own tax, regulatory, and legal obligations arising from the payments they receive from their subscribers.

Refunds, chargebacks, and disputes between a subscriber and a Creator are solely between them. Wozz is not the merchant for those payments, does not decide them, and is not responsible for them. Wozz's only role is to respond to a resolved payment outcome by granting or revoking channel access accordingly. See our Refund Policy for what Wozz does and does not refund.

Connected Stripe accounts. If you connect your own Stripe account to Wozz, you authorize Wozz to perform subscription-management actions on that account on your behalf as part of operating the Service — including creating checkout sessions for your subscribers, pausing and resuming collection, canceling subscriptions, and initiating refunds. These actions manage billing on your account; the funds themselves always remain in your own Stripe balance and are never held by Wozz.

5. Your Subscription to Wozz

Wozz offers a Free tier and three paid plans — Starter, Growth, and Pro. To use features beyond the Free tier, you must subscribe to a paid plan. Each paid subscription fee is a flat monthly or annual charge for access to the Wozz software, billed in advance.

Your contract for your Wozz subscription is directly with Luxeon LLC. We use Stripe as our payment processor to collect subscription fees. Your payment card details are collected and processed by Stripe and never pass through Wozz's servers. Where we are required to collect sales tax, VAT, or similar taxes on your subscription, they will be shown at checkout.

Your subscription automatically renews at the end of each billing period (monthly or annual) until you cancel. You may cancel at any time; cancellation stops future renewals but does not retroactively refund the current period except as set out in our Refund Policy.

6. Plan Limits and Tiers

Each plan tier includes defined limits (such as the number of active subscribers and channels you may manage, and which payment methods you may enable). Current limits are described on our pricing page. We may enforce these limits within the Service. If your usage exceeds your plan's limits, we may require you to upgrade to continue adding new subscribers or channels.

We do not remove or interrupt a subscriber's access in the middle of a period they have already paid for as a result of plan limits. However, while your usage exceeds your plan's limits or your Wozz subscription is unpaid, the Service may stop adding new subscribers and may pause or decline subscriber renewals until your usage fits your plan.

7. Eligibility and Account Responsibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and able to form a binding contract, to use the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date. You are responsible for ensuring your subscribers meet any age or eligibility requirements that apply to your content.

8. Acceptable Use and Prohibited Content

You agree not to use the Service, and not to use your channel in connection with the Service, to:

Cross-compliance. Because your channel and your payments run on third-party services, you must also comply with the terms and policies of those services — including Telegram's Terms of Service and Stripe's terms and its list of restricted and prohibited businesses. Content or conduct prohibited by Telegram or by your payment processor is also prohibited on Wozz, and a violation there is a violation of these Terms.

You are solely responsible for the content of your channels and for your compliance with this Section. We may investigate suspected violations and may suspend or terminate accounts that violate this Section, as described in Section 11.

9. No Financial or Professional Advice

Wozz is a neutral access-management and payment-facilitation tool. Nothing provided by Wozz constitutes financial, investment, trading, legal, tax, or other professional advice, and Wozz does not endorse, vet, verify, or take responsibility for any content, claims, signals, guidance, or outcomes offered by any Creator through their channel.

Any information a Creator provides in their channel is the Creator's own and is not reviewed or endorsed by Wozz. Subscribers deal with Creators, and rely on Creators' content, entirely at their own risk. This is particularly important where Creators offer trading, forex, investing, coaching, or similar content: such content carries risk, may not be suitable for every person, and is the sole responsibility of the Creator who provides it.

10. Intellectual Property and Copyright (DMCA)

The Wozz software, website, branding, and all related intellectual property are owned by Luxeon LLC. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain all rights in your own content.

Copyright complaints. We respect intellectual-property rights and respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA). Notices should be sent to our designated agent, registered with the U.S. Copyright Office:

If you believe content made accessible through a Creator's use of the Service infringes your copyright, your written notice to the designated agent above must contain: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and enough information to locate it; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act on the owner's behalf.

We will respond to valid notices, may remove or disable access to allegedly infringing material, and will terminate, in appropriate circumstances, the accounts of Creators who are repeat infringers. A Creator who believes material was removed in error may submit a counter-notice to the same designated agent above.

11. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if you breach these Terms, if required by law, or if your use poses a risk to the Service, to other users, or to their subscribers. We may also terminate for convenience on reasonable notice.

On termination, your license to use the Service ends and access features may be disabled. Suspending or terminating your Wozz account does not by itself cancel any subscriptions your subscribers hold on your own Stripe account — you remain responsible for managing those directly with Stripe, including stopping or refunding them as you see fit.

You may stop using the Service at any time by canceling your subscription and ceasing use. Provisions that by their nature should survive termination (including payment obligations, ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

12. Service Availability and "As Is" Disclaimer

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, secure, or that access grants or revocations will occur without delay. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law. We make no warranty regarding any third-party service (including Telegram or Stripe).

13. Limitation of Liability

To the fullest extent permitted by law, Luxeon LLC and its officers, members, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Service, the conduct or content of any Creator or subscriber, or any third-party service. Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as liability for fraud or for death or personal injury caused by negligence).

14. Indemnification

You agree to defend, indemnify, and hold harmless Luxeon LLC and its officers, members, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to: your content; your channels; your products, services, or access you provide; your relationship with or disputes with your subscribers; your use of the Service; your violation of any law or third-party right; or your breach of these Terms. This obligation survives termination.

15. Dispute Resolution — Binding Arbitration and Class-Action Waiver

IMPORTANT — PLEASE READ. THIS SECTION AFFECTS YOUR LEGAL RIGHTS: IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND IT WAIVES YOUR RIGHT TO A JURY TRIAL AND TO JOIN A CLASS ACTION. YOU MAY OPT OUT WITHIN 30 DAYS (SEE BELOW).

Informal resolution first. Before starting any formal proceeding, you agree to contact us at support@getwozz.com and try in good faith to resolve the dispute informally for at least 30 days.

BINDING ARBITRATION. Except as provided below, any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration, rather than in court, under the U.S. Federal Arbitration Act and the rules of a recognized arbitration provider. Judgment on the award may be entered in any court with jurisdiction.

CLASS-ACTION AND JURY-TRIAL WAIVER. You and Luxeon LLC agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding, and each waives any right to a jury trial.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or stop unauthorized use of the Service.

30-DAY OPT-OUT. You may opt out of this arbitration and class-waiver Section by emailing support@getwozz.com within 30 days of first accepting these Terms, stating your name and that you opt out. Opting out does not affect the rest of these Terms.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Subject to Section 15, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Wyoming, except where applicable non-waivable consumer-protection law grants you the right to bring proceedings in your local jurisdiction.

17. Limitation of Actions

To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim arose; otherwise it is permanently barred.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and version above. We will communicate material changes where reasonably practicable and, where required, seek your renewed acceptance. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
